These Terms of Service ("Terms") govern your use of the products and services provided by MoginLabs ("we," "us," or "our"), including Heistall and StructMD. By using our services, you agree to these Terms.

1. Acceptance of Terms

By creating an account or using our products, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our services.

2. Description of Services

Heistall is an AI-assisted personal project management application that helps users organize daily workflows and tasks.

StructMD is a document processing utility that converts office documents (Word, Excel, PowerPoint) into structured text formats.

All services are delivered digitally and available immediately upon purchase or account creation.

3. Accounts

• You must be at least 13 years old to create an account.
• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activities that occur under your account.
• You must provide accurate and complete registration information.

4. Subscriptions and Payments

• Paid plans are billed on a monthly or annual basis, as selected at purchase.
• All prices are listed in US Dollars (USD).
• Payments are processed securely through Stripe.
• Subscriptions automatically renew unless cancelled before the renewal date.
• Lifetime licenses provide permanent access with a one-time payment.

5. Cancellation

You may cancel your subscription at any time. Upon cancellation, you retain access to paid features until the end of your current billing period. After that, your account reverts to the free plan.

6. Acceptable Use

You agree not to:

• Use our services for any illegal or unauthorized purpose.
• Attempt to access other users' accounts or data.
• Interfere with or disrupt our services or servers.
• Reverse engineer, decompile, or attempt to extract source code.
• Use automated tools to scrape or access our services beyond normal use.

7. Intellectual Property

Our products, including all code, design, and content, are owned by MoginLabs and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use our products for personal or professional use.

You retain all rights to your own data and content uploaded to our services.

8. Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. We may perform maintenance or updates that temporarily affect availability. We will provide advance notice when possible.

9. Limitation of Liability

To the maximum extent permitted by law, MoginLabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits, arising from your use of our services.

10. Termination

We reserve the right to suspend or terminate your account if you violate these Terms. Upon termination, your right to use our services ceases immediately. We will provide reasonable notice and an opportunity to export your data when possible.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through our products. Continued use after changes constitutes acceptance.

12. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through good-faith negotiation or, if necessary, binding arbitration.
